Terms & Conditions

These Terms govern the purchase and use of mindact LLC’s programs, coaching, digital content, assessments and community.

Scope

These Terms govern the purchase and use of mindact LLC’s programs, coaching, digital content, assessments and community, and apply to consumers buying through our websites. Nothing in these Terms limits any mandatory consumer right that cannot legally be excluded; where a clause conflicts with such a right, that right prevails.

Eligibility

You must be at least 18 and legally able to enter into these Terms. You agree to provide accurate information and to use our services lawfully and respectfully.

Offers and contract formation

The content of our websites is an invitation to purchase, not a binding offer. For standardised offers sold through our website, the contract is formed when you complete the checkout and we send the order confirmation, unless the applicable offer clearly states otherwise.

For individually agreed high-ticket coaching services, the contract is governed by the separate written agreement provided to you. That agreement contains the applicable program scope, duration, price, payment schedule, start date, withdrawal information and any offer-specific terms. Payment is requested only after or together with the execution of that agreement.

A verbal expression of interest during a consultation does not by itself replace the applicable written agreement or online ordering process.

Prices, taxes and payment

Prices displayed at checkout include any taxes that mindact is legally required to collect, unless clearly stated otherwise. Your bank or payment provider may apply separate currency-conversion or transaction fees.

Payments are processed by third-party payment providers. If a payment fails we will contact you and may suspend access until it is resolved.

Installment plans

Where an installment plan is offered, the applicable sales page, checkout or separate agreement will clearly show the total program price, number of installments, amount of each installment and payment schedule before the customer commits. An installment plan is payment of one total purchase and is not a cancellable monthly subscription.

The scheduled installments remain payable as a contractual commitment. This does not affect your statutory rights, including your right of withdrawal.

Subscriptions

Where an offer is presented as a recurring subscription, the applicable sales page and checkout will clearly show the recurring price, billing interval, renewal terms, minimum term where applicable, and cancellation process before purchase.

Digital content

Where a program includes digital content, we tell you at checkout when access begins. Where you receive access immediately, we ask for your express consent and for your acknowledgement that you lose your right of withdrawal for that content once access begins, and we confirm both in your order confirmation email. Where access begins only after the withdrawal period ends, no such consent is needed and your withdrawal right is unaffected.

Coaching and live services

Coaching, group sessions and live calls are services. Where they begin before the withdrawal period ends, we ask you to expressly request that start. If you then withdraw before the services are fully performed, you pay a proportionate amount for what has already been delivered, calculated against the total price. Where services begin only after the withdrawal period ends, no such request is needed.

Appointments and cancellations

You can reschedule or cancel a booked appointment using the link in your confirmation email. Where possible, please give at least 24 hours’ notice. For free introductory calls there is no charge for a missed appointment, although repeated no-shows may mean we do not offer further appointments. Any fee for a missed paid session is stated at the time of booking.

Withdrawal rights

If you are a consumer in the EU or EEA, you have 14 days to withdraw from your purchase without giving any reason. The period starts on the day the contract is concluded.

To withdraw, tell us by a clear statement before the deadline: use the withdrawal form at mindact.io/withdraw, email [email protected], or use the model form in section 21. Sending your notice before the deadline is enough. We refund all payments received from you without undue delay and within 14 days of being informed, using the same payment method you used, at no cost to you.

Two exceptions apply. For digital content you asked to access immediately, having acknowledged the loss of the right, the right ends when access begins. For services you asked us to begin during the period, you owe a proportionate amount for what was delivered if you withdraw before completion. Where a program contains both, each part is treated under its own rule.

Refunds

Beyond your statutory withdrawal right, we may offer a commercial refund. Any offer-specific refund commitment displayed on the applicable sales page, checkout or separate agreement forms part of that offer. Nothing in this section limits any mandatory consumer rights that cannot legally be excluded. To request a refund, email [email protected] with your name, the email used for the purchase, the product and the purchase date.

Assessment and coaching disclaimer

Our assessments, programs, coaching and content are for education, leadership development, self-reflection and personal growth. They are not medical, psychological, psychiatric, therapeutic or clinical services, and nothing we provide is intended to diagnose, treat, cure or prevent any condition or to replace advice from a licensed professional.

Assessment results are educational reflections based on your answers. They are not diagnoses. You should not make significant personal, medical, financial, legal or professional decisions based on a result alone. We do not guarantee any specific outcome; results depend on your participation, consistency and situation. If you are experiencing a medical or mental-health emergency, contact emergency services or a qualified professional immediately.

Community rules

If you take part in our community, you agree to treat other members with respect, to keep what others share confidential, and not to harass, spam, or post illegal, harmful or infringing content. Do not give medical, clinical or therapeutic advice unless you are qualified and clearly acting professionally outside mindact. Do not copy, screenshot or share another member’s contributions outside the community.

We may remove content or end community access where these rules are broken. Community access continues for the access period stated in the applicable offer or purchase summary.

Where we offer an optional WhatsApp group, joining is voluntary. Other members can see your phone number, profile name and profile photo. Essential program information and materials will also be available through the members area, email, or another non-WhatsApp channel.

Recordings

mindact may record selected webinars, program sessions or group calls where this is stated in the applicable offer or communicated before the recording begins. Participants will be clearly informed before recording starts. Recordings may be made available to authorised participants for the stated access period.

Private sales or coaching calls will not be recorded without the participant’s express permission.

A recording will not be published or used for advertising, testimonials or other public marketing without a separate permission where required.

Intellectual property and acceptable use

Our content — videos, texts, frameworks, assessments, worksheets, recordings and program materials — belongs to mindact LLC or its licensors. You may use it for your own personal or internal business development. You may not copy, resell, reproduce or distribute it, share your login, or record and redistribute sessions without permission. This does not restrict what you learn: skills, insight and professional judgement you develop are yours to use freely.

Do not misuse our websites or platforms, attempt to gain unauthorised access, or use our services to harm others or break the law.

Program changes and termination

We may improve, update or replace program content over time, but will not make changes that substantially reduce the core of what you purchased. We may suspend or end your access if you break these Terms, fail to pay, misuse the platform or harm other users; except where the breach is serious, we will tell you first and give you a chance to put it right. Where we end your access for a reason that is not your fault, we refund the unused portion.

Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, or the breach of mandatory consumer rights.

To the extent permitted by applicable law, mindact is not responsible for losses that were not reasonably foreseeable when the contract was formed or that result from circumstances outside mindact’s reasonable control.

Our content is educational. It does not replace advice from licensed medical, psychological, legal, financial or tax professionals, and you remain responsible for your own decisions.

Separate corporate and B2B agreements

Customized corporate, business-to-business and organizational services are governed by the applicable proposal or separate written agreement. In the event of a conflict, that separate agreement prevails.

Governing law and contact

These Terms are governed by the laws of the State of Florida, United States. If you are a consumer resident in the EU or EEA, this choice does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts that have jurisdiction where you live. If any provision is unenforceable, the rest stays in effect. We may update these Terms; the version in force when you purchased governs that purchase.
